Dropshipping service regulations

§1

Definitions

In this document, the following terms have the following meanings:

1. shumee – Shumee Joint Stock Company with registered office at al. 1 Maja 31/33 l. 6, 90-739 Łódź, Poland, entered into the Register of Entrepreneurs of the National Court Register by the District Court for Łódź – Śródmieście in Łódź, XX Commercial Department of the National Court Register, under number 0000628881, holding NIP 7252140827 and REGON 364985130, with share capital of 300 000 zł paid in full

2. Dropshipper – a company that has entered into cooperation with shumee under the terms of the following Regulations

3. Dropshipping – a service whereby shumee undertakes to deliver a purchased Product to the Dropshipper’s End Customer

4. Service – the website https://b2b.shumee.eu/

5. Product – any movable property not excluded from legal trading, in particular from the Home and Garden category

6. End User Customer – a person or entity with whom Dropshipper has entered into a sales agreement for Products purchased from shumee; 

§2

General terms and conditions

1. The Dropshipping Service is only available to businesses registered in the European Union. The service is not addressed to individuals not running a business.

2. Dropshipper willing to cooperate with shumee is required to have a registered and active VAT-EU number. Shumee has the right to refuse service to Dropshippers who do not have such number.

3. For the avoidance of doubt, shumee declares that it is not a party to any agreements concluded by Dropshipper in particular sales agreements with End User Customers and is not responsible for the proper implementation of such agreements.

§3

Registration

1. Dropshipper who wants to start using Dropshipping service must register on https://b2b.shumee.eu/ completing all the data.

2. By registering, Dropshipper agrees to the provisions of these Regulations.

3. Access to the Service will be granted only to Dropshippers who meet the conditions set out in paragraph 2 of these Regulations.

4. shumee will inform Dropshipper within 72 hours from the registration form refusal or initiation of cooperation.

5. For registration and use of the Service shumee does not charge any additional fees.

 §4

Products

1. As part of the Dropshipping service, shumee makes available for purchase selected Products for the Dropshipper.

2. shumee declares that all Products on the https://b2b.shumee.eu/ are free from legal and physical defects and are brand new.

3. shumee declares that all Products have the necessary certificates and other required documents necessary for the release of Products on the territory of the European Union.

4. shumee under the Dropshipping service provides the Partner access to marketing materials which include:

1. Product descriptions

2. Product titles

3. Product parameters

4. Product images

5. Dropshipper is not obliged to use the materials provided.

6. shumee gives free, non-exclusive, non-transferable permission to use by the Purchaser materials and information available through the integration using XML file. The use of materials and information, referred to in the previous sentence, for other purposes and by other persons than specified in the Regulations is prohibited.

§5

Placing orders

1. Dropshipper who wants to make a purchase must use the service https://b2b.shumee.eu/ adding selected products to the shopping cart, then in the process of completing the data must enter the correct address details for the delivery of products.

2. shumee reserves the right to cancel orders in the event of

1. incorrect stock

2. incomplete data provided by Dropshipper

3. shumee does not allow the reservation of stock of products.

4. The prices given during the implementation of orders are net prices (without VAT).

5. The prices given in the Service are binding prices.

6. Dropshipper is responsible for providing complete and correct data to fulfill the order, including in particular the address of delivery to the end customer. Shumee is not responsible for the inability to process an order as a result of an incorrect shipping address.

7. Orders placed to different shipping addresses must be placed separately.

§6

Payments

1. Dropshipper is obliged to pay in advance for each order. Payment for the order is made through one of the methods provided by Payu.

2. All prices quoted on the Service are in PLN currency.

3. shumee reserves the right to execute the order until funds are credited to the account of shumee. 

4. Prices quoted on the Site include all costs of payment processing, in addition to those resulting from fees on the part of Dropshipper such as additional fees in the bank.

§7

Provision of data

1. As part of the service Dropshipping shumee provides materials specified in par. 4. The materials are made available in the form of links to an XML file. 

2. XML file contains, in addition to materials, data on the purchase prices applicable on the Service and availability of products.

3. The XML file is updated by shumee. The Dropshipper himself must take care of the updates on his side. Shumee is not responsible for losses caused by the lack of updates on the part of Dropshipper. 

4. Dropshipper will receive access to the XML file after passing the verification specified in paragraph 2. 

§8

Logistics

1. shumee under the Dropshipping service undertakes to deliver Products to the address indicated by the End Customer.

2. shumee is not responsible for the inability to fulfill orders as a result of incomplete or incorrect address. 

3. shumee sends the Products within 3 working days of receiving the payment and provides a tracking link to the address assigned to the account on the Site, which allows you to locate the Products.

4. Form and time of delivery are determined individually for the Products.

5. Shipping takes place by courier DPD Poland. 

6. The prices of the Products stated on the Site include the cost of delivery of the Products to the End-customer in the https://b2b.shumee.eu/ 

§9

Invoices

1. shumee undertakes to issue invoices with a VAT rate of 0.

2. Dropshipper agrees to receive invoices electronically to the e-mail address assigned to the account on the Site.

3. Dropshipper declares that in case of deregistration of VAT-EU number will notify shumee.

4. shumee will issue a summary invoice on the last day of the month for all completed orders in a given month

5. shumee will also issue a corrective invoice in the event of a refund in the event of cancellation of an order by shumee or a refund made under the terms described in paragraph 10.

§10

Returns

1. shumee Dropshipping service allows you to return purchased Product within 14 days from the date of delivery of goods to the End User.

2. Conditions for recognition of return by shumee are:

1. no visible signs of use of the Product

2. notification of the fact of the desire to return the Product to the address kontakt@shumee.pl

3. returning the Product at Dropshipper’s expense to the address indicated in response to the notification within 7 days from receipt of confirmation of acceptance of return

3. Products returned without meeting these conditions will remain the property of Dropshipper and Dropshipper will not be entitled to a refund of payment for the Product.

4. shumee will, within 72 hours of receiving the Product, refund the money paid for the Product to the bank account indicated. 

§11

Complaints

1. shumee makes every effort to ensure that the quality control process Dropshipping implementation is correct and goods with physical defects were not placed on the market. 

2. Goods purchased by Dropshipper are intended for resale. 

3. Goods sent via Dropshipping will be accepted for complaint after notification to kontakt@shumee.pl, and then evaluated for physical defects only in the case of a complaint by Dropshipper

4. shumee is not a party to any agreement between Dropshipper and the End Customer, which means in particular that: 

1. All settlements under such agreements shall be on the terms and conditions determined by the parties thereto, 

2. Exercise of any obligations or rights by the End Customer in connection with the agreement concluded with the Dropshipper, especially when the End Customer acts as a consumer, shall take place without the participation of shumee. 

5. If shumee recognizes a product defect and the validity of the complaint, then the defective part or Product will be replaced with a new one or the value of the Product will be refunded. Refund of money in the process of complaint can be made only if the complaint was accepted.

6. Dropshipper does not have the right to demand a specific type of recognition of the complaint

7. The cost of sending a new Product to the End Customer in the case of acknowledgment of the complaint by shumee is covered by shumee. 

§12

Exclusion of liability

1. shumee shall not be liable for failure to perform or improper performance of its obligations in connection with the implementation of the Dropshipping due to force majeure, by which is meant a sudden event that prevents the execution of the obligation independent of shumee, external, impossible to predict and prevent, in particular wars, natural disasters and acts of governmental authorities and administration. 

2. The liability of shumee for any damages or losses, the aggregate, cumulative liability shall be limited the purchase price of the product. 

3. shumee shall not be liable to the Dropshipper for any indirect, incidental, special, consequential or exemplary damages arising or in connection with these terms and conditions, including loss of profits or lost revenues, business interruption or loss of business information, impairment of other goods or otherwise, even if it has been advised of the possibility of such damages.

4. The marketing, distribution and sale of the Products does not, to shumee’s knowledge, infringe any rights of third parties. In the event of such infringement, shumee shall not be liable for any claim with regard to such infringement.

5. In the event of wilful intent or gross negligence on the part of shumee the above limitation of liability does not apply.

§13

Duration of cooperation

1. Dropshipping service is carried out on a continuous basis. 

2. Each party has the right to terminate the provisions of the Regulations with one month’s notice.

3. shumee has the right to immediate termination of the Terms of Service in case of

1. Dropshipper loses its VAT-EU number 

2. using marketing materials for purposes other than those specified in the Terms & Conditions.

§14

Change of Terms and Conditions

1. shumee has the right to change the Terms and Conditions.

2. Any change to the Terms & Conditions will be announced 14 days before the change is made.

3. Dropshippers have the right to terminate the Terms and Conditions before the effective date of the new provisions of the Terms and Conditions.

4. After 14 days without termination of the Terms and Conditions it will be deemed that Dropshipper has accepted the changes.

§15

Final provisions

1. In matters not covered by this Agreement shall apply the provisions of the Polish Civil Code 

2. Any disputes arising from the implementation of the subject of the contract the parties shall submit to the settlement of the court competent for the seat of shumee.
